Corporate Ownership Notice

02

Nature of Services (Intermediary & Coordinator Role)

DirectRoute operates as a specialized B2B freight coordinator, logistics planner, and matching intermediary. We connect corporate commercial shippers seeking cargo transport with independent, verified commercial fleet operators and truck owners ("Fleet Partners" or "Carriers").

Unless expressly stipulated in a separate bilateral master service agreement executed in writing, DirectRoute acts in an intermediary coordination capacity. DirectRoute is not a common carrier, public transport operator, or cargo insurer. Physical carriage and road transport are performed by independent Fleet Partners operating under the Carriage by Road Act, 2007 and the Motor Vehicles Act, 1988.

  • Coordination Scope: DirectRoute facilitates requirement assessment, route vehicle matching, driver communication, loading coordination, milestone tracking, and proof of delivery (POD) retrieval.
  • Bailment & Custody: DirectRoute does not take physical bailment or possession of commercial cargo; actual road transit is executed by independent commercial vehicle owners and their licensed drivers.
03

User Eligibility & Authority Representations

By utilizing our platform or engaging our logistics desk, the Customer represents and warrants that:

  • Corporate Status: The Customer is a duly registered corporate entity, LLP, partnership, or proprietorship operating lawfully under the applicable laws of India.
  • Authority: The individual communicating, booking, or confirming freight orders possesses explicit organizational authority to commit the entity to financial and legal obligations.
  • Accuracy of Data: All corporate profiles, GSTIN certificates, PAN records, pickup/drop coordinates, and cargo manifests supplied are accurate and up-to-date.
04

Shipper Obligations & Cargo Warranties

Shippers must ensure cargo legality, adequate packaging, accurate weight declarations, and full documentation compliance.

A. Lawful Cargo & Prohibited Items

The Shipper expressly warrants that all consignments tendered for carriage consist strictly of lawful commercial goods. The Shipper shall not tender, directly or indirectly, any:

  • Contraband, narcotics, psychotropic substances, or illegal goods under Indian law.
  • Unregistered hazardous materials, explosives, radioactive substances, or toxic chemicals without advance written authorization, specialized carriers, and statutory HAZMAT permits.
  • Stolen property, counterfeit goods, or goods violating third-party intellectual property rights.

B. Packaging & Lashing Standards

The Shipper is solely responsible for packaging, palletizing, crating, sealing, and labeling cargo appropriately to withstand normal hazards of road transport, including vibration, braking forces, and climatic variations.

DirectRoute and its Carriers disclaim all liability for damage, leakage, or loss resulting from defective packaging or improper internal lashing performed by consignor staff.

C. e-Way Bills & Statutory Documentation

The Shipper must provide complete and valid transit documentation prior to vehicle dispatch, including Commercial Tax Invoices, Delivery Challans, and active e-Way Bills complying with Rule 138 of the Central Goods and Services Tax Rules, 2017.

Any statutory fine, tax penalty, vehicle seizure, or detention resulting from expired or defective e-Way bills or mismatched consignee particulars shall be paid and indemnified entirely by the Shipper.

05

Fleet Partner & Carrier Terms

All independent Fleet Partners and commercial vehicle operators collaborating with DirectRoute agree to strict operating standards:

  • Statutory Fitness: All deployed commercial vehicles must hold valid Registration Certificates (RC), National or State Carriage Permits, Vehicle Fitness Certificates, comprehensive commercial motor insurance, and Pollution Under Control (PUC) certificates.
  • Driver Qualifications: Drivers assigned to freight journeys must hold valid Commercial Heavy Motor Vehicle (HMV) Driving Licenses, observe all road safety norms, and adhere to zero-tolerance policies regarding driving under the influence.
  • Safe Execution & Delivery: Fleet Partners must adhere to dispatched transit schedules, safeguard cargo integrity, report mid-route incidents promptly, and obtain signed, stamped Proof of Delivery (POD) from authorized consignee personnel upon arrival.
06

Quotations, Tariffs & Rate Validity

Freight quotations furnished by DirectRoute are based on prevailing market fuel rates, seasonal supply, truck capacity, and route specifications.

Formal quotations remain valid for the period specified in the communication (customarily twenty-four (24) hours). If confirmation is not provided within the validity window, rates are subject to revision based on real-time vehicle availability.

Standard quotations cover line-haul freight coordination only. Unless explicitly itemized in writing, rates exclude loading/unloading labor, toll tariffs, state entry levies/octroi, transit insurance, and detention charges.

07

Detention, Halting & Demurrage Policy

To ensure vehicle utilization and fair driver compensation, strict detention guidelines apply to all loading and unloading points:

  • Free Loading/Unloading Window: Standard bookings include up to four (4) hours of free loading time at the consignor point and up to four (4) hours of free unloading time at the consignee point, unless otherwise stated in writing.
  • Halting Charges: Where a vehicle is detained beyond the free time due to delays caused by the Shipper, Consignee, loading delays, or documentation issues, halting charges shall apply at standard market rates per 24-hour cycle or fraction thereof, determined by vehicle tonnage.
  • Detention Settlement: Applicable halting charges must be acknowledged on the trip sheet and cleared either prior to final vehicle discharge or settled in the supplementary freight invoice.
08

Cancellation & Dead Freight Policy

Shipment cancellations disrupt scheduled vehicle movements and cause financial loss to transport operators:

  • Cancellation by Shipper: If a booking is cancelled by the Shipper after a vehicle has been placed or is en route to the loading facility, a Dead Freight / Placement Fee shall be payable by the Shipper to reimburse empty vehicle kilometers and opportunity costs.
  • Carrier Mechanical Breakdown: In the event of unforeseen carrier breakdown or transit failure, DirectRoute will make reasonable commercial efforts to arrange a replacement vehicle. If no alternative can be sourced, DirectRoute’s liability is strictly limited to refunding any advance payment collected for that unexecuted portion.
09

Payment Terms, Invoicing & Taxes

Financial settlements are conducted strictly through formal commercial banking channels:

  • Payment Milestones: Invoices shall be settled per agreed terms (e.g., agreed advance upon loading and balance upon electronic/physical POD confirmation, or approved institutional credit terms).
  • Goods & Services Tax (GST): Tax invoices are issued in compliance with the CGST/SGST Acts. Applicable GST shall be remitted under the Reverse Charge Mechanism (RCM) for Goods Transport Agency (GTA) services or Forward Charge as specified on the billing invoice.
  • Late Interest: Overdue balances shall accrue interest at 18% per annum calculated from the due date until full realization, alongside any legal recovery costs.
  • Lien on Consignments: Subject to Indian law, DirectRoute and its Carriers retain a general and particular lien upon consignments and documents for unpaid freight, demurrage, or operational dues owed by the Customer.
10

Transit Cargo Insurance & Risk Allocation

Commercial freight transportation across Indian highways carries inherent road hazards, accidents, and environmental exposures:

  • Limitation of DirectRoute Responsibility: DirectRoute shall not be held liable for any loss, damage, theft, pilferage, contamination, fire, or spoilage of cargo occurring during road transit, unless directly proven to have been caused by the gross negligence of DirectRoute’s own internal employees.
  • Carriage by Road Act Claims: Any transit claim against the physical transporter must be initiated under the provisions of the Carriage by Road Act, 2007. DirectRoute will assist in facilitating damage certificates, carrier inspection reports, and Certificate of Facts (COF) to support the Shipper’s insurance recovery.
Mandatory Insurance Notice

Shipper’s Duty to Maintain Marine Transit Insurance

DirectRoute is not an insurer of cargo. All shippers, manufacturers, and cargo owners are strictly advised and required to secure comprehensive Marine Transit Insurance (All Risks Policy) covering the full commercial value of goods from consignor warehouse to consignee delivery point.

11

Limitation of Liability & Monetary Caps

To the maximum extent permitted under applicable law, the cumulative liability of Directroute Freight Solutions Private Limited, its directors, officers, and employees arising out of any single shipment or claim—whether in contract, tort, warranty, or otherwise—shall be strictly capped at the total freight coordination fee actually earned and retained by DirectRoute for that specific shipment.

Under no circumstances shall DirectRoute be liable for any indirect, special, incidental, punitive, or consequential damages, including loss of profits, factory stoppage, downtime penalties in downstream contracts, supply chain disruptions, or loss of commercial reputation.

12

Force Majeure

Neither party shall be held in breach of contractual obligations (excluding monetary payments due) where fulfillment is delayed or impeded by events of Force Majeure.

Force Majeure includes, without limitation: acts of God, floods, severe storms, landslides, earthquakes, road infrastructure collapses, national or state strikes, highway blockades, civil commotion, war, terrorism, epidemics, RTO/administrative border closures, or changes in government transport regulations beyond reasonable control.

13

Customer Indemnification

The Customer agrees to indemnify, defend, and hold harmless Directroute Freight Solutions Private Limited, its directors, affiliates, and operating staff against any losses, penalties, damages, expenses, liabilities, and legal fees resulting from:

  • Any material breach of these Terms, warranties, or applicable laws by the Customer or its representatives.
  • Misdeclaration of cargo specifications, gross weights, hazardous nature, or commercial values.
  • Non-compliance with GST, e-Way Bill, or state transport documentation rules leading to vehicle impounding or tax confiscation.
  • Any bodily injury, property damage, or casualty occurring at the Customer’s loading or unloading premises caused by Customer personnel, equipment, or dock operations.
14

Intellectual Property & Confidentiality

All intellectual property, trademarks, domain names, logos, digital portal software, and proprietary coordination workflows belong exclusively to Directroute Freight Solutions Private Limited. No license or rights are granted to Users except as strictly required to utilize our coordination services.

Both parties agree to treat commercial pricing sheets, contracted freight tariffs, and customer/carrier records as strictly confidential, withholding disclosure from unauthorized third parties except where required by law.

15

This Agreement, all transactions coordinated by DirectRoute, and any disputes arising hereunder shall be governed by and construed in accordance with the substantive laws of the Republic of India.

  • Amicable Consultation: In the event of any commercial disagreement or claim, the parties shall first make good-faith efforts to reach an amicable resolution via senior management discussion within thirty (30) days.
